Carl Icahn has abandoned his efforts to take CVR Energy Inc. (NYSE: CVI) private for between $29 and $30 per share, citing changed market conditions. Icahn currently owns 82% of CVR, a Sugar Land, Texas-based producer of ammonia and urea-ammonia nitrates. www.cvrenergy.com

Care.com, a Waltham, Mass.-based online care marketplace, has acquired Breedlove & Associates, an Austin, Texas-based provider of household payroll, tax and compliance services. No financial terms were disclosed. Care.com has raised $111 million in VC funding from Matrix Partners, Institutional Venture Partners, New Enterprise Associates and Trinity Ventures. www.care.com

Generali, an Italian insurance company, is looking to sell its U.S. life reinsurance business for upwards of $1 billion, according to the FT.
