HgCapital has retained Goldman Sachs to find a buyer for Schleich Gmbh, a German maker of Smurfs toys and other plastic figurines, according to Reuters. www.schleich-s.com/de

Takeda Pharmaceuticals (Tokyo: 4502) has agreed to acquire LigoCyte Pharmaceuticals Inc. a Bozeman, Mont.-based developer of vaccines and monoclonal antibodies for gastrointestinal and respiratory diseases. The deal includes a $60 million up-front payment and possible earnouts. LigoCyte has raised over $30 million in VC funding from Forward Ventures, JAFCO, Novartis Venture Fund, Fidelity Biosciences, MedImmune Ventures, Athenian Venture Partners and MC Life Sciences Ventures.www.ligocyte.com

Microsoft Corp. (Nasdaq: MSFT) has acquired PhoneFactor Inc., an Overland Park, Kansas-based provider of multifactor authentication solutions. No financial terms were disclosed.www.phonefactor.com

UnitedHealth Group Inc.
 (NYSE: UNH) is in talks to buy some or all of Brazilian insurer and hospital operator Amil Participacoes SA (BOVESPA: AMIL3), according to Reuters. Amil has a market cap of $4.47 billion. www.amil.com.br

Veracode Inc.
, a Burlington, Mass.-based provider of application security services, has acquired Marvin Mobile Security, a provider of mobile app analysis service for enterprises, app stores and mobile carriers. No financial terms were disclosed. Veracode has raised over $70 million in VC funding from Meritech Capital Partners, Atlas Venture, .406 Ventures and StarVest Partners. www.veracode.com

may seek to sell its control stake in Moroccan telecom operator Maroc Telecom, according to the FT. Possible bankers include Lazard and Crédit Agricole, while the 53% position could be valued at more than €4 billion. www.vivendi.com
