Starbucks Coffee Co. (Nasdsaq: SBUX) has agreed to acquire Teavana Holdings Inc. (NYSE: TEA) for approximately $620 million in cash, or $15.50 per share (53% premium to Tuesday's closing price). www.teavana.com

Forest Laboratories Inc. (NYSE: FRX) and Adamas Pharmaceuticals Inc. have entered into a development and commercialization agreement for a combo drug that could treat treatment of moderate to severe dementia. The deal is valued at upwards of $160 million, including a $65 million upfront payment. Emeryville, Calif.-based Adamas has raised over $40 million in VC funding from Aeris Capital, Bio*One Capital, DAG Ventures, EDB Investments, GF Private Equity, Mohr Davidow Ventures, Northgate Capital and Takeda Ventures. www.adamaspharma.com

GrainCorp. (ASX: GNC), an Australian grains handler, has rejected a $2.76 billion takeover offer fromArcher Daniels Midland (NYSE: ADM). www.admworld.com

News Corp. (Nasdaq: NWSA) is nearing an agreement to acquire a stake in the YES Network, broadcaster of NY Yankees and Brooklyn Nets games, according to the NY Times.

Avanade, a Seattle-based managed services provider backed by Microsoft and Accenture, has agreed to acquire Azaleos Corp., a Seattle-based provider of remotely managed services for Microsoft Exchange, SharePoint and Lync. No financial terms were disclosed.  Azaleos has raised VC funding from Ignition Partners, Frontier Capital, Insight Venture Partners and Second Avenue Partners. www.avanade.com

Coates Hire, an Australian provider of equipment hiring services, has hired Goldman Sachs to explore a sale of the company, according to Reuters. The company previously had considered an A$800 million IPO. Coates Hire is controlled by The Carlyle Group and Seven Group Holdingswww.coateshire.com.au

TaskRabbit, a San Francisco-based online marketplace that outsources errands, has acquired One Jackson, an online marketplace for indie-designed children's clothing. No financial terms were disclosed. TaskRabbit has raised around $38 million in VC funding from Founders Fund, Baseline Ventures, Lightspeed Venture Partners, Shasta Ventures, Shervin Ventures and 500 Startups. One Jackson had been seeded by Accel Partners, Floodgate, NextView Ventures and Trinity Ventures. www.taskrabbit.com
