Helca Mining Co. (NYSE: HL) has agreed to acquire Canadian gold mining company Aurizon Mines Ltd.(TSX:ARZ) for approximately C$796 million, or C$4.75 per share (9% premium to Friday's closing price).www.hecla-mining.com

News Corp. (Nasdaq: NWSA) is seeking to sell its 44% stake in New Zealand television and radio operator Sky Network Television Ltd. (NZSE: SKT). Based on Friday's closing price of A$4.14 per share, the position would be valued at approximately A$700 million. www.skytv.co.nz

Solera Partners plans to sell 3.5 million shares of organic food company Annie's Inc. (Nasdaq: BNNY) via a secondary public offering. Credit Suisse and JPMorgan are underwriting the offering. Annie's shares closed trading Friday at $42.26 per share. If successful, the sale would reduce Solera's ownership percentage from 37.7% to 15.1%.www.annies.com

KNOT Offshore Partners LP, a UK-based company that acquired, owns and operates shuttle tankers under long-term charters, has filed for a $100 million IPO. It plans to trade on the NYSE under ticker symbol KNOP, with BoA Merrill Lynch and Citigroup serving as co-lead underwriters.
