Valeant Pharmaceuticals International Inc. (NYSE: VRX) has agreed to acquire aesthetic and skin-care company Obagi Medical Products Inc. (Nasdaq: OMPI) for around $344 million in cash, or $19.75 per share (28% premium to yesterday's closing price). www.valeant.com

The British Broadcasting Corp. has agreed to sell guidebook publisher Lonely Planet to Franklin, Tenn.-based NC2 Media for £51.5 million. BB originally purchased Lonely Planet for £130 million.www.lonelyplanet.com

Denway Partners has sold its majority stake Fastfrate Holdings Inc., a Canadian provider of transportation and logistics services, to an investment company controlled by company chairman and CEO Ron Tepper. No financial terms were disclosed. Fenway will retain a minority equity position.www.fastfrate.com

Platinum Equity has agreed to sell Contego Healthcare Ltd., a British provider of packaging solution to the healthcare market, to a subsidiary of Filtrona PLC (LSE: FLTR)  for approximately £160 million in cash. www.contegopackaging.com
