Nutanix, a San Jose, Calif.-based provider of datacenter infrastructure solutions, has raised $101 million in Series D funding. Riverwood Capital and SAP Ventures co-led the round, and were joined by Morgan Stanley Expansion Capital, Greenspring Associates and return backers Lightspeed Venture Partners, Khosla Ventures and Battery Ventures. www.nutanix.com

uTest, a Framingham, Mass.-based provider of an in-the-wild app testing platform, has raised $43 million in Series E funding. Goldman Sachs led the round, and was joined by return backers QuestMark Partners, Scale Venture Partners, Longworth Venture Partners, Mass Ventures, Egan-Managed Capital and Mesco Ltd. www.utest.com

Juno Therapeutics, a Seattle-based developer of immunotherapies for cancer, has raised around $25 million in new VC funding from Bezos Expeditions and Venrock. This brings the round total to more than $145 million, including prior commitments from ARCH Venture Partners and the Alaska Permanent Fund, through a partnership managed by Crestline Investors. Juno's strategic partners are The Fred Hutchinson Cancer Research Center, Memorial Sloan-Kettering Cancer Center and the Seattle Children's Research Institute. www.junotherapeutics.com

Invoca, a Santa Barbara, Calif.-based provider of cloud-based inbound call marketing technology, has raised $20 million in Series C funding. Accel Partners led the round, and was joined by return backers Upfront Ventures and Rincon Venture Partners. www.invoca.com

Chrome River, a Los Angeles-based provider of expense management and supplier invoice processing software, has raised $17 million in Series C funding. Bain Capital Ventures led the round, and was joined by return backers First Analysis and Argentum. www.chromeriver.com

Zachary Prell, a New York-based men's sportswear brand, has raised $15 million in Series A funding from TAL Groupwww.zacharyprell.com

Main Street Hub, an Austin, Texas-based "do-it-for you" marketing platform for local businesses, has raised $14 million in Series B funding. Bessemer Venture Partners led the round, and was joined by Harrison Metal Capital. www.mainstreethub.com

Oyster, a Netflix-style service for e-books, has raised $14 million in new VC funding. Highland Capital Partners led the round, and was joined by return backer Founders Fund. www.oysterbooks.com

ProNAi Therapeutics Inc., a Plymouth, Minn.-based developer of nucleic acid therapeutics, has raised over $12 million in Series C funding led by Capital Midwest Fundwww.pronai.com

SuVolta Inc., a Los Gatos, Calif.-based provider of semiconductor technologies for low-power, high-performance ICs, has raised $10.6 million in new VC funding. Fujitsu Semiconductor Ltd. was joined by return backers Kleiner Perkins Caufield & Byers, August Capital, New Enterprise Associates, Northgate Capital and DAG Ventures. www.suvolta.com

Visually Inc., a San Francisco-based visual content marketplace, has raised $8.1 million in Series A funding. Crosslink Ventures led the round, and was joined by 500 Startups, Correlation Ventures, Giza Ventures, Kapor Capital, Quest Ventures and SoftTechVC. www.visual.ly

Elastifile, an Israel-based storage startup focused on reducing the cost and improving performance of large data centers and private clouds, has raised $8 million in Series A funding from Battery Venturesand Lightspeed Venture Partnerswww.elastifile.com

Madison Vaccines Inc., a Madison, Wisc.-based developer of prostate cancer therapies, has held a first close on its $8 million Series A funding round. Venture Investors LLC led the deal, and was joined by Wisconsin Alumni Research Foundation, Venture Management LLC and the State of Wisconsin Investment Board. www.madisonvaccines.com

OpenSesame, a Portland, Ore.-based source of online training courses, has raised $8 million in Series A funding led by Partech Ventureswww.opensesame.com

Intellinote, a Reston, Va.-based provider of workforce operations management software for collaborative workflows, has raised $4.3 million in Series A funding co-led by Grotech Ventures and Boulder Ventureswww.intellinote.com

Porch, a Seattle-based provider of a recommendation engine for home improvement professionals, has raised an undisclosed amount of funding from Lowe's Cos. (NYSE: LOW), according to the NY Times.www.porch.com

Private Equity Deals

Alstom SA (Paris: ALO) is expected to receive takeover bids for its heat exchanger unit this week, according to Reuters. The deal could be valued at around €600 million, with suitors reported to include Advent International, Bain Capital, PAI Partners, Rhone Capital, Pamplona and Triton Private Equity. Goldman Sachs is managing the process. www.alstom.com

Bertram Capital has acquired Maxcess International Holding Corp., an Oklahoma City-based provider of guiding, winding, slitting and tension control systems for web fed converting applications. No financial terms were disclosed. The seller is Windjammer Capital. www.maxcessintl.com

Brightree LLC, an Atlanta-based provider of business management software solutions for the home medical equipment market, has acquired Strategic AR Solutions LLC, an Overland Park, Kansas-based provider of private-pay billing and collection solutions. Darby Private Equity has acquired a majority stake in Acrecent Financial Corp., a commercial finance company operating in Puerto Rico and the Caribbean. No financial terms were disclosed.www.darbyoverseas.com

H.I.G. Capital has agreed to acquire American Pacific Corp. (Nasdaq: APFC), a Las Vegas-based fine and specialty chemical company. The deal is valued at around $392 million, or $46.50 per share (19% premium to last Thursday's closing price). www.apfc.com

IronGate Energy Services, a Houston-based portfolio company of Clearlake Capital Group, has acquired Green Light Energy Services, a provider of rental services to oil and gas exploration and production operators in the Williston Basin of North Dakota. No financial terms were disclosed.www.irongatees.com

MHF Services, a Wexford, Penn.-based portfolio company of Relativity Capital, has acquired the assets of Bull Run Metal Fabricators and Engineers Inc., a Clinton, Tenn.–based provider of specialty metal packaging for generators and shippers of radioactive materials and waste. Millennium Laboratories, a San Diego-based portfolio company of TA Associates, has acquiredRxAnte, a McLean, Va.–based healthcare predictive analytics and decision support company. No financial terms were disclosed. RxAnte had raised VC funding from Aberdare Ventures and the West Health Investment Fund.  www.millenniumlabs.com

Silverfleet Capital has completed its previously-announced acquisition of European call center groupCompetence Call Center Holding GmbH from Ardian (f.k.a. AXA Private Equity). No financial terms were disclosed, except that CCC generates more than €100 million in annual revenue.www.silverfleetcapital.com


Concert Pharmaceuticals Inc., a Lexington, Mass.-based developer of drugs for spasticity and diabetic kidney disease, has filed for a $74.75 million IPO. It plans to trade on the Nasdaq under ticker symbol CNCE, with UBS and Wells Fargo serving as lead underwriters. The company reports a $141,000 net loss on around $24 million in revenue for the first nine months of 2013. Shareholders include Three Arch Partners (12.8% pre-IPO stake), TVM Capital (12.4%), GlaxoSmithKline (11.8%), Brookside Capital (10.2%), Skyline Ventures (9.4%), Fidelity Investments (6.6%), Greylock Partners (6.3%) and Flagship Ventures (5.9%). www.concertpharma.com

Seibu Holdings Inc., a Japanese Japanese railway and hotel group, is planning to list its shares in Tokyo later this year, according to Reuters. The offering would include Seibu's largest shareholder,Cerberus Capital Management, selling around a 20% stake in the company (out of a 35% position).www.seibuholdings.co.jp

Virtu Financial Inc., a New York-based high-speed trading company partially owned by Silver Lake, has filed confidential IPO registration documents, according to Dow Jones. www.virtu.com


Time Warner Cable (NYSE: TWC) has rejected a $63.5 billion buyout offer from smaller rival Charter Communications (Nasdaq: CHTR), with Time Warner CEO Rob Marcus calling it a "non-starter." www.charter.com

Google (Nasdaq: GOOG) has agreed to acquire Nest Labs, a Palo Alto, Calif.-based maker of smart home devices like thermostats and smoke detectors, for $3.2 billion in cash. Nest had raised VC funding from such firms as Kleiner Perkins, Shasta Ventures, Google Ventures, Lightspeed Venture Partners, Venrock, Intertrust and  Generational Investment Management. www.nest.com

Pfizer Inc. (NYSE: PFE) has received tentative interest in its branded generics business from Valeant Pharmaceuticals (TSX: VRX), Actavis PLC (NYSE: ACT) and Mylan Inc. (Nasdaq: MYL), according to Reuters. www.pfizer.com

Azalea Capital has sold Star Packaging Corp., an Atlanta-based provider of flexible packaging solutions, to Interflex Group. No financial terms were disclosed. www.starpackagingcorp.com

Euroscript International SA has acquired Amplexor NV, a Belgium-based provider of content management solutions. No financial terms were disclosed, except that Amplexor generates approximately €11 million in annual revenue. Sellers include Capricorn Venture Partners.www.euroscript.com
