TutorGroup, a China-based online language learning platform, has raised nearly $100 million in Series B funding. Backers include Alibaba Group, Temasek and Qiming Venture Partners. www.tutor-group.com

Novimmune SA, a Swiss developer of therapeutic monoclonal antibodies for immune-related disorders and inflammatory diseases, has raised CHF 60 million (US$66m) in Series B funding led by Rosetta Capitalwww.novimmune.com

Intacct, a San Jose, Calif.-based provider of cloud financial management and accounting software, has raised $30 million in VC funding. Battery Ventures led the round, and was joined by Morgan Creek Capital Management and return backers including Bessemer Venture Partners, Costanoa Venture Capital, Emergence Capital, Sigma Partners and Split Rock Partners. The company also secured a $15 million debt facility from Silicon Valley Bank. www.intacct.com

Hampton Creek Foods Inc., a San Francisco-based developer of plant-based egg ingredients for food companies, has raised $23 million in Series B funding. Horizons Ventures led the round, and was joined by AME Cloud Ventures, individual angels and return backers Khosla Ventures, Collaborative Fund and Eagle Cliff. www.hamptoncreekfoods.com

Duolingo, a Pittsburgh-based language learning company that translates websites into English, has raised $20 million in Series C funding, according to VentureWire. Kleiner Perkins Caufield & Byersled the round, and was joined by return backers New Enterprise Associates and Union Square Ventures. www.duolingo.com

RegImmune Corp., a Tokyo-based developer of immune regulatory therapeutics, has raised $9.2 million in Series D funding. JAIC and Nippon Venture Capital Corp. co-led the round, and was joined by Mizuho Capital, Nissei Insurance, KSP Inc., Mitsui-Sumitomo Insurance and return backers SMBC Venture Capital Co. Tictail, a Stockholm-based DIY e-commerce platform, has raised $8 million in Series A funding. Thrive Capital led the round, and was joined by Balderton Capital, Project A Ventures, Creandum and individual angels. www.tictail.com

Elastica, a San Jose, Calif.-based provider of "data science-powered" cloud application security solutions, has raised $6.3 million in Series A funding from Mayfield Fundwww.elastica.net

GuestDriven, a Montreal-based platform for real-time hotel guest interaction, has raised C$3 million in Series A funding. Backers include PlazaCorp, Real Ventures and Structure Capital.www.guestdriven.com

Firelayers, a San Francisco-based provider of cloud app security and management solutions, has raised an undisclosed amount of funding from YL Ventures. www.firelayers.com

Private Equity Deals

Starr Investment Holdings and Partners Group have agreed to acquire MultiPlan Inc., a New York-based provider of healthcare claims management solutions for large insurers, from BC Partners and Silver Lake for $4.4 billion. www.multiplan.com

Apollo Global Management has completed its previously-announced take-private acquisition of CEC Entertainment Inc. (NYSE: CEC), operator of 577 Chuck E. Cheese's stores, for approximately $1.3 billion (including the assumption of debt), or $54 per share.. www.chuckecheese.com

Capital Partners has acquired Breen Color Concentrates, a Lambertville, N.J.-based provider of color and additive concentrates to blow molding and other markets, from Spell Capital. No financial terms were disclosed. www.breencolor.com

Dubai International Capital has received several bids for German packaging company Mauser AG, according to Dow Jones. Suitors include Ardian and The Blackstone Groupwww.mausergroup.com

Gávea Investimentos and The Blackstone Group each are leading buyout offers for a 41.2% stake in listed Brazilian medical diagnostics company Fleury SA, according to Reuters. The position is held by a group of physicians, and could be valued at upwards of $500 million. www.fleury.com.br

GTCR Golder Rauner has acquired Callcredit Information Group Ltd., a UK-based provider of consumer data management services, from Vitruvian Partners and AlpInvest Partners. No financial terms were disclosed, but prior media reports put the price tag at upwards of $790 million.www.callcredit.co.uk

Intervale Capital has formed Energes Oilfield Solutions, a Houston, Texas-based oil and gas services platform whose offerings include flowback and well-testing, H2S monitoring and safety services and water transfer. The company is led by Gary Coates (ex-VP at Tetra Technologies), and already has purchased the assets of Mesa Safety Solutions, a Jourdanton, Texas-based provider of Hydrogen Sulfide (H2S) monitoring, safety training and water transfer services.www.intervalecapital.com

Paradigm Tax Group, a Boston-based acquisition platform sponsored by The Riverside Co., has acquired Pence & Associates, a Kansas City-based property assessment review and tax consulting firm. No financial terms were disclosed. www.penceproptax.com

Permira has completed its previously-announced acquisition of "more than $200 million of the outstanding equity" of LegalZoom, a Glendale, Ariz.-based provider of legal documents and services. Existing LegalZoom shareholders – including Polaris Venture Partners, Institutional Venture Partners, and Kleiner Perkins Caufield & Byers – will retain minority ownership positions. www.legalzoom.com

Permira has completed its previously-announced acquisition of Atrium Innovations Inc. (TSX: ATB), a Canadian maker of health and nutrition products like multivitamins. The deal was valued at around C$751 million, or C$24 per share in cash. Permira now holds a 75% equity stake, while existing Atrium shareholders Fonds de solidarité FTQ and Caisse de dépôt et placement du Québec each hold 12.5% stakes (before management equity programs). www.atrium-innovations.com

TPG Capital and Shanghai Fosun Pharmaceutical have agreed to acquire Chindex International Inc. (Nasdaq: CHDX), a Bethesda, Md.–based provider of primary care hospitals and affiliated ambulatory clinics in China. The deal has an implied equity value of approximately $369 million, with Cindex shareholders to receive $19.50 per share in cash (14% over Friday's closing price).www.chindex.com

UGL Ltd. (ASX: UGL)., an Australian engineering company, said that it has received informal approaches from private equity firms for its property services unit (DTZ). The firms were not identified. UGL has been expected to float DZT later this year. www.ugllimited.com

IPO's

King Digital Entertainment, maker of the Candy Crush Saga mobile game, has filed for a $500 million IPO. It plans to trade on the NYSE under ticker symbol KING, with J.P. Morgan listed as left lead underwriter. The company reports around $568 million in net income on around $1.8 billion in revenue for 2013. Shareholders include Apax Partners (48.2% pre-IPO stake) and Index Ventures(8.3%).

Akebia Therapeutics, a Cincinnati-based developer of small molecule drugs to treat anemia and cancer, has filed for a $75 million IPO. It plans to trade on the Nasdaq under ticker symbol AKBA, with Morgan Stanley and Credit Suisse serving as lead underwriters. Shareholders in the pre-revenue company include Novartis Bioventures (25.1% pre-IPO stake), Venture Investors LLC (11.3%), Satter Investment Management (11.1%), Kearny Venture Partners (10.4%), Novo AS (10.2%), Triathlon Medical Ventures (8.7%), Athenian Venture Partners, AgeChem Venture and Sigvion Capital Fund.www.akebia.com

Stalwart Tankers Inc., owner and operator of a fleet of mid-size stainless steel chemical tankers, has filed for a $100 million IPO. It plans to trade on the NYSE under ticker symbol STST, with Jefferies, Wells Fargo Securities and Global Hunter Securities serving as lead underwriters.

Varonis Systems Inc., a New York-based provider of enterprise software for analyzing, managing and migrating unstructured data, has set its IPO terms to 4.8 million shares being offered at between $17and $19 per share. It would have an initial market cap of around $429 million, were it to price in the middle of its range. The company plans to trade on the Nasdaq under ticker symbol VRNS, with Morgan Stanley, Barclays and Jefferies serving as lead underwriters. Varonis reports a $7 million net loss on around $75 million in revenue for 2013, compared to a $5 million net loss on $53 million in revenue for 2012. Shareholders include Accel Partners (25.6% pre-IPO stake), Evergreen Venture Partners (23.1%) and Pitango Venture Capital (17.7%). www.varonis.com

OTHER M&A

Actavis PLC (NYSE: ACT) has agreed to acquire Forest Laboratories Inc. (NYSE: FRX) for approximately $25 billion. The $89.48 per share deal includes $26.04 in cash and 0.3306 Actavis shares for each share of Forest common stock, and represents a 25% premium over Friday's closing price. Just last month, Forest Labs agreed to buy Aptalis Holdings from TPG Capital for $2.9 billion.www.frx.com

Andarko Petroleum (NYSE: APC) has agreed to sell its China subsidiary to Brightoil Petroleum Holdings Ltd. (HK: 933) for $1.075 billion. www.brightoil.com.hk

Cerberus Capital Management in talks to participate in a debtor-in-possession financing package for bankrupt Brazilian shipbuilder OSX Brasil SA, according to Reuters. www.osx.com.br

Duke Energy (NYSE: DUK) said that it plans to divest its Midwestern wholesale power generation business, which includes 6 wholly-owned power plants and stakes in 7 other plants. The process could take upwards of 18 months. www.duke-energy.com

Goldlead Jewelry Co. (Shanghai: 000587) has agreed to acquire ERG Resources LLC, a Houston, Texas-based oil and gas company focused on California and the Gulf Coast, for upwards of $665 million. www.energy-reserves.com

Better Capital has sold publisher Reader's Digest UK to British media entrepreneur Mike Luckwell for just £1. http://www.readersdigest.co.uk

Novartis has agreed to acquire CoStim Pharmaceuticals Inc., a Boston-based developer of monoclonal antibodies "that enable a patient's own immune system to better fight cancer." No financial terms were disclosed. Sellers include MPM Capital and Atlas Venture. http://www.novartis.com

Tyson Foods Inc. (NYSE: TSN) has offered to buy Michaels Foods Group Inc., a Minnetonka, Minn.-based food processing and distribution company, from GS Capital Partners and Thomas H. Lee Partners, according to Bloomberg. The deal could be valued at around $2 billion. http://www.michaelfoods.com

Google (Nasdaq: GOOG) has acquired SlickLogin, a Palo Alto, Calif.-based mobile authentication tool, for an undisclosed amount. www.slicklogin.com
